1. Acceptance of Terms

By accessing or using the AverraTrade platform at averratrades.com (“the Platform”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree with any part of these Terms, you must immediately discontinue use of the Platform.

These Terms constitute a legally binding agreement between you (“User,” “Buyer,” “Supplier,” or “you”) and AverraTrade (“we,” “our,” or “us”). By registering an account, placing an order, or listing products, you expressly acknowledge that you have read, understood, and agreed to these Terms in their entirety.

2. Definitions

• “Platform” refers to the AverraTrade website, including all subdomains, APIs, and related services.
• “Buyer” means any individual or entity that purchases or inquires about products listed on the Platform.
• “Supplier” means any individual or entity that lists products for sale on the Platform.
• “User” refers collectively to Buyers, Suppliers, and any other visitors to the Platform.
• “Products” means all goods, items, and merchandise listed, offered, or sold through the Platform.
• “Transaction” means any purchase, sale, or trade agreement facilitated through the Platform.

3. Account Registration & Security

To access certain features, you must register for an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account details as necessary
• Keep your password secure and confidential
• Accept full responsibility for all activities under your account
• Notify us immediately of any unauthorized use or security breach

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent activity.

4. Buyer Terms

4.1 Orders & Pricing

All prices listed on the Platform are in USD unless otherwise stated. Prices are subject to change without notice. Buyers are responsible for verifying current pricing before placing orders. All orders are subject to Supplier acceptance and availability.

4.2 Payment

Payment terms are agreed upon between Buyer and Supplier. AverraTrade may facilitate secure payment processing through third-party gateways. Buyers agree to pay all charges incurred in connection with their orders, including product costs, shipping fees, taxes, and customs duties.

4.3 Inspection & Acceptance

Buyers are responsible for inspecting all products upon delivery. Any claims for damage, shortage, or non-conformity must be reported within 48 hours of receipt. Failure to report within this timeframe constitutes acceptance of the delivered products.

5. Supplier Terms

5.1 Product Listings

Suppliers must provide accurate, complete product descriptions including specifications, pricing, minimum order quantities, and available certifications. All products must comply with applicable laws, regulations, and international trade standards.

5.2 Prohibited Products

The following are strictly prohibited on the Platform:

• Counterfeit, stolen, or illegally obtained goods
• Products that violate intellectual property rights
• Hazardous materials without proper documentation
• Products subject to international sanctions or embargoes
• Any items prohibited by applicable local or international law

5.3 Fulfillment Obligations

Suppliers are obligated to fulfill accepted orders in accordance with agreed specifications, quantities, and delivery timelines. Failure to fulfill orders may result in account suspension, financial penalties, or permanent removal from the Platform.

6. Intellectual Property

The AverraTrade name, logo, platform design, and all original content are proprietary intellectual property owned by AverraTrade. Users may not copy, reproduce, distribute, or create derivative works without express written permission.

Suppliers retain ownership of their product images, descriptions, and brand assets. By listing on the Platform, Suppliers grant AverraTrade a non-exclusive license to display and promote their content.

7. Dispute Resolution

AverraTrade encourages direct resolution between Buyers and Suppliers. In the event of a dispute that cannot be resolved directly:

• Either party may escalate the dispute to AverraTrade for mediation
• AverraTrade will review transaction records and communications
• Our mediation decision will be binding on both parties
• Disputes not resolved through mediation may be subject to arbitration

8. Limitation of Liability

AverraTrade operates as a marketplace platform connecting Buyers and Suppliers. We are not a party to any transaction and do not:

• Take title to or ownership of any products listed
• Guarantee the quality, safety, or legality of listed products
• Ensure that Buyers or Suppliers will complete transactions
• Assume liability for product defects, delivery delays, or non-payment

To the fullest extent permitted by law, AverraTrade shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

9. Indemnification

You agree to indemnify, defend, and hold harmless AverraTrade, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from:

• Your violation of these Terms
• Your use of the Platform
• Products you list, sell, or purchase
• Any dispute between you and another User

10. Platform Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without prior notice. This includes changes to features, functionality, pricing structures, and these Terms. Continued use after modifications constitutes acceptance.

11. Termination

We may terminate or suspend your account immediately, without prior notice, for any of the following reasons:

• Violation of these Terms
• Fraudulent or illegal activity
• Repeated transaction failures or buyer/supplier disputes
• Extended account inactivity
• Request by law enforcement or regulatory authority

Upon termination, your right to use the Platform ceases immediately. Outstanding transaction obligations survive termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable international trade laws. Any legal action arising from these Terms shall be brought exclusively in the competent courts of the jurisdiction specified in the applicable transaction agreement.
